Engagement Letter
EWBS Services: You, as an authorized person for the entity you are requesting services (“Client”), agree to engage EntityWise Business Support (“EWBS”) for certain services. EWBS will send Client an electronic e-mail which confirms the services being rendered for each entity.
Registered Agent Services: EWBS will provide a valid in-state physical street address and Agent Name to meet the state registration requirements and receive service of process, state, and legal notices. EWBS will immediately deliver any legal notices or service of process to the Client via email. Additionally, any Registered Agent notice required to be delivered hereunder shall be deemed to be delivered when (a) deposited in the United States Postal Service or other courier services or (b) emailed to the Client’s current email address on file, whether or not actually received.
Conditions: The Client recognizes that the appointed Registered Agent address is NOT to be used with banks, for mail forwarding, or as a personal, mailing, or physical address for their company, nor listed anywhere besides the designated area, as determined by EWBS, with the applicable Secretary of State or other state agency responsible for registering business entities. EWBS does not forward regular mail (e.g. bank statements, company mail, advertisements) to Client, except for legal notices, certified mail, or service of process sent as registered agent.
Payment: Payment for services will be collected annually. Services will not be rendered until payment is received. By signing this engagement letter, you authorize EWBS to invoice you each year for services.
Cancelling Policies: If the Client plans to cancel service, it is the Client’s responsibility to change the Registered Agent’s name and address with the appropriate Secretary of State office, or properly dissolve the entity, and provide EWBS with proof of change or dissolution at least one month before the month of scheduled service to stop the automatic charges. There will be no refunds for any unused days or months. In the event that payment has not been rendered within 30 days of the due date, and our Registered Agent information has not been replaced, or the entity has not been properly dissolved according to State statutes, EWBS will resign as Registered Agent with the applicable State. The Client will be billed for the paralegal time, postage, and filing fee with the State where EWBS is resigning. The Client will be invoiced for the fees after completing the resignation. If left unpaid, these charges will be subject to collections and monitored by our Accounts Receivable Department. After which, the client will be responsible for procuring and replacing the Registered Agent’s name and address. Be aware that resignation may result in the Company being put into “default” or delinquent status or “administratively dissolved” status by the applicable State. Additionally, the Client shall be solely responsible for any penalties accrued and/or renewal or reinstatement fees necessary to reinstate the Client’s Company once EWBS has resigned as Registered Agent. Be advised that by signing this engagement letter, you authorize EWBS to sign the appropriate documents on your behalf when removing our services from the state.
Authorization to Release Information: For EWBS to provide the services you are requesting, it may be necessary to obtain certain information from your tax firm Three Peaks Advisors, This information may be transmitted by mail, facsimile, or electronic format. You acknowledge and provide your authorization to both EWBS and TPA to share any documents and information regarding your company necessary for each to provide services.
